It's funny that WinXP can't format drives bigger than 32 GB as FAT32, while Win98 and even WinME can. Hah.
So yeah, you could use an fdisk from one of those OSs. Or get Puppy Linux (Live CD) and use its GParted (I think that was the name) utility to format. It's really easy.
